Supplementary Terms for AI-Generated Features

  1. General

    1. In this document, "we", "our", "us" and "Okendo" refers to Okendo Pty Ltd (ACN 165 005 989) and its related entities. These Supplementary Terms should be read in conjunction with the Merchant Terms or your Okendo Enterprise Service Agreement ("Your Okendo Agreement"), and the Merchant Privacy Policy, which is available at https://okendo.io/legal-merchants/privacy/.

    2. By using or accessing Okendo AI-Generated Features ("AI Features”), you ("you") agree to these Supplementary Terms & Conditions, and if you do not agree to you should not and are not permitted to use the AI Features.

  2. Accuracy & Limitations

    1. By enabling AI Features, you understand that these AI Features are automatically produced by machine learning technology without manual oversight.

    2. You acknowledge that it is in the nature of machine learning technology that output may be inconsistent, imperfect or could inadvertently omit material information or present potentially misleading content if not reviewed in detail.

    3. You should not rely solely on the AI Features for any product representations, marketing claims, or legal compliance.

    4. Okendo strives to provide helpful AI-generated content but does not guarantee the AI Features are accurate, complete, or free from bias.

  3. Compliance

    1. You represent and warrant that your use of the AI Features will comply with all applicable consumer protection and advertising laws, including the U.S. Federal Trade Commission’s rules and guidelines on online reviews and endorsements (16 C.F.R. Part 255).

    2. You acknowledge that these regulations may require clear and conspicuous disclosure of material connections, truthful and accurate representation of reviews, and other obligations relating to consumer-facing content.

  4. Acceptance of Liability & Indemnification

    1. You agree that you bear sole responsibility for ensuring that the output of any AI Features meet all applicable laws and regulatory requirements in any applicable jurisdiction.

    2. You agree to indemnify, defend, and hold harmless Okendo, its officers, directors, employees, and agents against any and all claims, liabilities, losses, damages, judgments, and expenses (including attorneys’ fees and costs) arising out of or related to your use of the AI Features, your breach of these Terms, or your violation of any applicable law or regulation.

  5. Data Usage & Privacy

    1. To generate the AI Features, personal information may be processed by Okendo and/or third-party service providers.

    2. You represent and warrant that you have the necessary consents or lawful bases to permit Okendo and any authorized sub-processors to process such data in accordance with applicable privacy laws.

  6. Disclaimers & Limitation of Liability

    1. To the fullest extent permitted by law, Okendo disclaims all warranties related to the AI Features, whether express or implied, including warranties of accuracy, fitness for a particular purpose, or non-infringement.

    2. In no event will Okendo be liable for indirect, consequential, or incidental damages arising from or related to the AI Features or your use thereof.

  7. Governing Law & Dispute Resolution

    1. These Terms are governed by the laws set out in your Your Okendo Agreement, and any disputes will be resolved as specified therein.

By clicking "Enable” or using the AI Features, you acknowledge that you have read, understand, and agree to these supplementary Terms & Conditions, including the assumption of liability and the indemnification obligations set forth herein.
